Manuel Panero Schipper is an attorney who graduated from the Universidad del Museo Social Argentino (UMSA) in Buenos Aires, Argentina.

He holds a specialization in Private Economic Law from the National University of Colombia, where he ranked third in academic performance among his graduating class.

He earned a Master of Laws (LL.M.) in International Business Law from the Université Libre de Bruxelles (Faculty of Law and Criminology, Belgium). His graduation was awarded after successfully defending his thesis titled “Vulture Funds: A Critical Analysis of Legislative Initiatives Proposing Measures to Mitigate Their Actions.”

In addition to his degrees, he has completed a postgraduate course on Capital Markets at UMSA and consistently participates in conferences, seminars, and courses, focusing on topics related to law, economics, and migration on both national and international levels.

Since 2021, he has expanded his practice to include migration services, assisting individuals and companies with legal and administrative processes for relocation, residency, and citizenship in various jurisdictions.

Professionally active in Argentina, he has developed over the years several partnerships across Latin America, with a special focus on Colombia and Paraguay, where he has spent significant time visiting for work. His practice spans commercial, economic, and migratory law. Additionally, he provides consultancy and develops technical reports to support decision-making for various stakeholders in both the public and private sectors.

Manuel also has a strong background in the public sector, having served as an advisor in the National Congress of Argentina and the National Congress of Colombia. This experience has provided him with in-depth knowledge of legislative processes and public policy in the region.

During his university years, he was recognized by the Buenos Aires Bar Association in 2008 as one of the top-performing law students from universities across the city. He also received two academic merit awards from Banco Santander Argentina (2007, 2008) and was a scholarship recipient of the Fundación Universitaria del Río de la Plata in 2008.

Manuel Panero has lived in various countries throughout his career, including Argentina, Belgium, and Colombia, where he completed his studies. He has visited over twenty countries across three continents. Currently, he maintains professional activity in Argentina, Colombia, and Paraguay.

In the private sector, he focuses on his professional development, assisting individuals and companies in matters related to civil, commercial, labor, and economic law. Additionally, he provides consultancy services and develops technical reports to support decision-making for various public and private sector stakeholders.

With a passion for the multicultural and multipolar world of the early 21st century, Manuel’s travels and interactions with colleagues from different countries are a vital part of his continuous learning. The most notable of these journeys include visits to Australia, the United States, Europe, Mexico, and all the countries in South America, with multiple trips over the past two decades.

ABSTRACT

Currently, according to International Monetary Fund (IMF), global debt reaches the amount of USD 184 trillion in nominal terms, considering sovereign and private debtors. As is widely known, most indebted countries are developed nations. Nevertheless, a big percentage of the current world debt is on emerging market economies or even worst, in low income developing countries.

Some of them have faced default situations in the past, accompanied by social, economic and political crisis. When a sovereign debt default occurs, a preponderant role is usually played by highly speculative investment funds, also commonly known as vulture funds.

Several legal tools have been applied throughout history to mitigate damaging effects of debt negotiation with highly speculative creditors. Proposals always face a key point in between avoiding or reducing the moral hazard on the part of debtor States and not rewarding creditor bad faith behavior while harming general interest.

In the last twenty years, collective action clauses (CACs) included by States into prospectus when issuing sovereign bonds, have been playing a key role in offering countries a tool to deal with creditors in debt restructuration process when default situations occur or are expected to occur, allowing countries to reach debt restructuration agreements with bond holders without requiring unanimous consent.

However, is estimated that USD 300 billion in sovereign bonds are circulating in financial markets without including CACs in its prospectus. That fact offers the essential tool to vulture funds to block agreements when restructuration processes are expected to occur. A legislative path has been initiated by Belgium and France when it comes to propose actions against vulture funds.

This book will analyze some weakness aspects regarding legislative initiatives and will propose creation of vulture funds registries.
